General Terms and Conditions

Article 1 - Definitions

General Terms and Conditions: The present general terms and conditions of ncskleuren.nl (Stichting Nederlands Kleur Instituut), applicable to all transactions, agreements and interactions between ncskleuren.nl (Stichting Nederlands Kleur Instituut) and its customers.

Buyer: The natural person or legal entity who enters into an agreement with ncskleuren.nl (Stichting Nederlands Kleur Instituut) for the purchase of products, services, advice, training or consultancy.

Supplier: ncskleuren.nl (Stichting Nederlands Kleur Instituut), an independent supplier established in the Netherlands.

Products: All items offered by ncskleuren.nl (Stichting Nederlands Kleur Instituut), such as colour samples, colour fans, equipment, software and other physical goods.

Services: The training, advice, consultancy and other non-material services offered by ncskleuren.nl (Stichting Nederlands Kleur Instituut).

Cooling-off period (bedenktijd): The period within which the buyer may exercise the right of withdrawal (herroepingsrecht) (14 days).

Day: A calendar day.

Article 2 - Applicability

General

These general terms and conditions apply to every offer, every order and every agreement between the buyer and ncskleuren.nl (Stichting Nederlands Kleur Instituut), including but not limited to the supply of products, services, advice, training and consultancy.

Deviating Terms

Deviations from or additions to these general terms and conditions are valid only if agreed in writing between ncskleuren.nl (Stichting Nederlands Kleur Instituut) and the buyer.

Nullity or Annulment

If one or more provisions of these general terms and conditions prove to be null and void or are annulled, the remaining provisions shall remain in full force.

Article 3 - The Offer

All offers are without obligation, unless expressly stated otherwise. ncskleuren.nl (Stichting Nederlands Kleur Instituut) cannot be held to offers if the buyer can reasonably understand that the offer contains an obvious error.

Article 4 - Prices and Payment

Prices

All prices are in euros and include VAT (btw), unless expressly stated otherwise
Any shipping, packaging or administration costs are specified separately
Prices may be changed without prior notice

Advance Payment

For orders placed via the website, full payment must be made in advance. Orders are processed only after receipt of payment.

Payment on Account

Payment on account is possible only after prior written approval
For payment on account, a credit term of no more than 30 days from the invoice date applies
A surcharge of 4% of the invoice amount applies to this payment option

Default of Payment

In the event of late payment, the buyer is in default by operation of law (van rechtswege)
Statutory interest is due from the due date
In the event of non-payment, reasonable collection costs will be charged
ncskleuren.nl (Stichting Nederlands Kleur Instituut) reserves the right to suspend or cancel the agreement

Retention of Title

All delivered products remain the property of ncskleuren.nl (Stichting Nederlands Kleur Instituut) until payment has been made in full.

Article 5 - Right of Withdrawal and Returns

Right of Withdrawal

The buyer has the right to withdraw from the agreement within 14 days of receipt
Withdrawal must be submitted in writing or by e-mail

Exclusions from the Right of Withdrawal

The right of withdrawal is excluded for:

Colour samples (all sizes)
Custom-made products
NCS design tools (such as NCS Atlas, NCS Block, NCS Album)
Digital products that have been downloaded
Products that cannot be returned for hygiene reasons

These products may only be returned if defective or damaged upon receipt.

Refund

After approval of the return, the full purchase amount will be refunded within 30 days via the original payment method.

Article 6 - Delivery and Delivery Times

Delivery Periods

Delivery periods are indicative and do not constitute a strict deadline (fatale termijn)
A longer delivery time may apply to custom-made products (up to 6 weeks)
Exceeding the delivery time does not entitle the buyer to compensation

Place of Delivery

Delivery takes place at the address specified by the buyer.

Transfer of Risk

The risk passes to the buyer as soon as the products have been delivered to the agreed address.

Partial Deliveries

ncskleuren.nl (Stichting Nederlands Kleur Instituut) reserves the right to deliver orders in instalments.

Article 7 - Warranty and Conformity

Warranty Period

Electronic products carry a warranty of 1 year from the date of delivery
The warranty applies exclusively to material and manufacturing defects

Limitations of Warranty

The warranty does not apply in the event of:

Normal wear and tear
Incorrect use or use contrary to instructions
Unauthorised modifications or repairs
Incorrect storage or transport conditions
Damage caused by external factors

Warranty Claims Procedure

Defects must be reported in writing within 7 days of discovery via info@ncskleuren.nl.

Article 8 - Liability

Limitation of Liability

ncskleuren.nl (Stichting Nederlands Kleur Instituut) is liable only for direct damage resulting from an attributable failure to perform. Liability for indirect damage is excluded.

Maximum Compensation

Liability is limited to a maximum of the invoice amount of the agreement, excluding VAT.

Exclusion of Liability

ncskleuren.nl (Stichting Nederlands Kleur Instituut) is not liable for damage resulting from:

Incorrect use of products
Incorrect information provided by the buyer
Delays due to force majeure
Defects in products supplied by third parties

Article 9 - Force Majeure

In the event of force majeure (natural disasters, pandemics, strikes, transport problems, etc.), ncskleuren.nl (Stichting Nederlands Kleur Instituut) has the right to suspend delivery or to dissolve the agreement without compensation.

Article 10 - Intellectual Property Rights

All intellectual property rights in delivered products, services, training materials and digital files remain the property of ncskleuren.nl (Stichting Nederlands Kleur Instituut), unless otherwise agreed in writing.

Article 11 - Privacy and Data Protection

ncskleuren.nl (Stichting Nederlands Kleur Instituut) processes personal data in accordance with the General Data Protection Regulation (GDPR; Dutch: AVG). For more information, see our Privacy Policy.

Article 12 - Complaints Procedure

Complaints must be reported in writing within 7 working days via info@ncskleuren.nl. ncskleuren.nl (Stichting Nederlands Kleur Instituut) aims to respond to complaints within 14 working days.

Article 13 - Applicable Law and Competent Court

Applicable Law

All agreements are governed exclusively by Dutch law.

Competent Court

Disputes will be submitted exclusively to the competent court in the district of Amsterdam (arrondissement Amsterdam).

Article 14 - Final Provisions

These general terms and conditions are effective from 1 January 2025 and replace all previous versions.

ncskleuren.nl (Stichting Nederlands Kleur Instituut) reserves the right to amend these terms and conditions. Amendments take effect as soon as they are published on the website.
